thought.

“Embarrassing.”

“Why?”

“Because three days ago I was trying to control one hundred percent of a company I apparently understood less than anyone in the room.”

Mara said, “That is accurate.”

He almost smiled.

I did too.

A very small smile.

Then Rebecca became death.”

“Fifty percent is still substantial.”

“Not necessarily controlling.”

I stared.

“If my five goes back to me and Raymond's fifteen.”

I had forgotten the ESOP.

“Management pool ten.”

Rebecca nodded.

“And Eleanor twenty-five after correction.”

I calculated.

Twenty-five.

Employee plan fifteen.

Management ten.

Thomas trust fifty.

“No single majority.”

“Correct.”

Eric looked confused.

“So who controls the company?”

Nobody answered immediately.

That was the problem.

Thomas's trust had been built on an assumption that Thomas's shares carried majority voting power.

Correct the old wrongs, and his carefully constructed succession mechanism no longer worked as designed.

I almost laughed.

He had tried to control the future by fixing the past privately.

The truth had finally reached the structure.

“And if the trust lacks majority?” I asked.

Rebecca said, “Governance shifts to the shareholder agreement.”

“Which says?”

Mara went to the cabinet.

She returned with the current agreement.

Board election by voting percentage.

Certain major actions require sixty-six percent.

Operational management delegated by board.

I looked at Rebecca.

“So the trust does not automatically control.”

“No.”

“Neither do I.”

“No.”

Eric said, “Nobody does.”

“Exactly.”

For the first time, the company would require actual shared governance.

Thomas would have hated that.

Then I reconsidered.

The Thomas who died might not have.

Maybe his final
