There has been a misunderstanding.<\/p>\n<p>I stared at the word.<\/p>\n<p>Misunderstanding.<\/p>\n<p>Nobody had misunderstood anything when I stood on that doorstep.<\/p>\n<p>At 7:34, I pulled into Harold\u2019s office parking lot.<\/p>\n<p>His building occupied the upper floors of an old brick bank downtown. Harold was waiting in the lobby when I entered.<\/p>\n<p>\u201cYou look terrible,\u201d he said.<\/p>\n<p>\u201cSo do you.\u201d<\/p>\n<p>\u201cI worked late.\u201d<\/p>\n<p>\u201cI had Thanksgiving.\u201d<\/p>\n<p>That earned the faintest smile.<\/p>\n<p>He took me upstairs.<\/p>\n<p>Two folders were waiting on his desk.<\/p>\n<p>A yellow legal pad sat beside them, already crowded with notes.<\/p>\n<p>Harold closed the office door.<\/p>\n<p>\u201cBefore we begin, tell me something.\u201d<\/p>\n<p>\u201cAll right.\u201d<\/p>\n<p>\u201cHas Richard Merritt contacted you?\u201d<\/p>\n<p>\u201cFour times since last night.\u201d<\/p>\n<p>Harold stopped.<\/p>\n<p>\u201cFour?\u201d<\/p>\n<p>\u201cDaniel, Emily and Victoria called too.\u201d<\/p>\n<p>He removed his glasses.<\/p>\n<p>\u201cWhen?\u201d<\/p>\n<p>\u201cStarting around six.\u201d<\/p>\n<p>\u201cDid anyone leave a message?\u201d<\/p>\n<p>\u201cRichard did.\u201d<\/p>\n<p>\u201cListen to it.\u201d<\/p>\n<p>I took out my phone.<\/p>\n<p>The message lasted nineteen seconds.<\/p>\n<p>\u201cLucas, it\u2019s Richard. We should speak. I understand there may have been some confusion yesterday. Call me before you speak with anyone about Merritt. It\u2019s important.\u201d<\/p>\n<p>Harold looked at me.<\/p>\n<p>\u201cBefore you speak with anyone.\u201d<\/p>\n<p>\u201cI heard it.\u201d<\/p>\n<p>\u201cDid he know you were coming here?\u201d<\/p>\n<p>\u201cNot from me.\u201d<\/p>\n<p>Harold sat down.<\/p>\n<p>\u201cThat concerns me.\u201d<\/p>\n<p>I remained standing.<\/p>\n<p>\u201cShow me what you called about.\u201d<\/p>\n<p>He opened the first folder.<\/p>\n<p>Inside were shareholder records, old agreements, amendments and capitalization tables.<\/p>\n<p>Most people would have found them impenetrable.<\/p>\n<p>I did not.<\/p>\n<p>Ruth and I had spent decades saving carefully. We had never lived like wealthy people because neither of us particularly wanted to.<\/p>\n<p>Our house was paid for.<\/p>\n<p>My truck ran.<\/p>\n<p>We traveled when Ruth was healthy.<\/p>\n<p>We helped Daniel through college.<\/p>\n<p>The rest we invested.<\/p>\n<p>Twenty-one years earlier, Merritt Development had been one of those investments.<\/p>\n<p>Richard had needed capital.<\/p>\n<p>I had money.<\/p>\n<p>The arrangement had been simple.<\/p>\n<p>The company grew.<\/p>\n<p>My investment grew with it.<\/p>\n<p>Richard became rich publicly.<\/p>\n<p>I became rich privately.<\/p>\n<p>Ruth preferred it that way.<\/p>\n<p>So did I.<\/p>\n<p>\u201cYou still hold the original position?\u201d I asked.<\/p>\n<p>\u201cNot exactly.\u201d<\/p>\n<p>Harold slid a page toward me.<\/p>\n<p>I examined the numbers.<\/p>\n<p>Years of restructuring, new investors, acquisitions and corporate changes had made the ownership complicated.<\/p>\n<p>But my name appeared again and again.<\/p>\n<p>Through trusts.<\/p>\n<p>Through an investment partnership.<\/p>\n<p>Through shares Ruth had protected years earlier.<\/p>\n<p>I leaned back.<\/p>\n<p>\u201cHow much?\u201d<\/p>\n<p>Harold tapped a line.<\/p>\n<p>I stared at the percentage.<\/p>\n<p>\u201cThat can\u2019t be right.\u201d<\/p>\n<p>\u201cIt is.\u201d<\/p>\n<p>\u201cRichard knows?\u201d<\/p>\n<p>\u201cHe knows outside investors hold substantial equity. I\u2019m not convinced he understands how much ultimately traces back to you.\u201d<\/p>\n<p>I thought of every dinner where Richard had explained business to me as if I were a child.<\/p>\n<p>Every holiday where Victoria had commented approvingly when Daniel bought a more expensive car.<\/p>\n<p>Every time Emily had suggested I sell my old house and move somewhere \u201ceasier to maintain.\u201d<\/p>\n<p>I had never corrected them.<\/p>\n<p>Money was not a personality.<\/p>\n<p>At least Ruth and I had never believed it should be.<\/p>\n<p>\u201cWhat transaction triggered this?\u201d<\/p>\n<p>Harold opened the second folder.<\/p>\n<p>\u201cMerritt is attempting an acquisition.\u201d<\/p>\n<p>I read the summary.<\/p>\n<p>The target company was a regional construction supplier.<\/p>\n<p>The proposed price made me frown immediately.<\/p>\n<p>\u201cThat valuation is high.\u201d<\/p>\n<p>\u201cVery.\u201d<\/p>\n<p>\u201cHow high?\u201d<\/p>\n<p>\u201cDepending on which comparable you use, somewhere between sixty and ninety percent above defensible market value.\u201d<\/p>\n<p>I looked at the seller.<\/p>\n<p>Merritt Holdings West.<\/p>\n<p>\u201cWho owns it?\u201d<\/p>\n<p>Harold turned the page.<\/p>\n<p>There was the answer.<\/p>\n<p>Richard\u2019s brother.<\/p>\n<p>I felt the room narrow.<\/p>\n<p>\u201cSo Merritt Development buys his brother\u2019s company at an inflated price.\u201d<\/p>\n<p>\u201cThat appears to be the proposal.\u201d<\/p>\n<p>\u201cWith shareholder money.\u201d<\/p>\n<p>\u201cYes.\u201d<\/p>\n<p>\u201cAnd Richard benefits his own family.\u201d<\/p>\n<p>\u201cYes.\u201d<\/p>\n<p>I read further.<\/p>\n<p>Several approvals had been structured to make the acquisition look routine.<\/p>\n<p>Nothing on the surface screamed fraud.<\/p>\n<p>That bothered me more.<\/p>\n<p>Carelessness leaves fingerprints.<\/p>\n<p>Planning wears gloves.<\/p>\n<p>\u201cWhy does my approval matter?\u201d<\/p>\n<p>Harold folded his hands.<\/p>\n<p>\u201cBecause certain ownership thresholds activate additional rights under the old shareholder agreement.\u201d<\/p>\n<p>\u201cWhat rights?\u201d<\/p>\n<p>\u201cReview. Objection. Potentially the ability to force independent examination before the transaction closes.\u201d<\/p>\n<p>I looked again at the percentage beside my name.<\/p>\n<p>Then I understood why Harold had called.<\/p>\n<p>And perhaps why Richard had.<\/p>\n<p>\u201cHow would Richard know?\u201d<\/p>\n<p>\u201cThat is what I want to find out.\u201d<\/p>\n<p>My phone vibrated.<\/p>\n<p>Daniel.<\/p>\n<p>I ignored it.<\/p>\n<p>Harold watched the screen.<\/p>\n<p>\u201cSomething happened after you left Thanksgiving.\u201d<\/p>\n<p>\u201cWhat makes you say that?\u201d<\/p>\n<p>\u201cBecause yesterday Richard had every reason to believe this transaction would proceed quietly. This morning he is urgently asking you not to speak to anyone about Merritt.\u201d<\/p>\n<p>I walked to the window.<\/p>\n<p>Traffic moved below us.<\/p>\n<p>A delivery driver wheeled boxes across the sidewalk. Two women stood outside a caf\u00e9 drinking coffee in paper cups.<\/p>\n<p>Ordinary morning.<\/p>\n<p>Not an ordinary problem.<\/p>\n<p>\u201cWhat exactly are you suggesting?\u201d<\/p>\n<p>\u201cThat somebody told Richard you might have influence.\u201d<\/p>\n<p>\u201cWho?\u201d<\/p>\n<p>\u201cI don\u2019t know.\u201d<\/p>\n<p>My phone vibrated again.<\/p>\n<p>This time it was Emily.<\/p>\n<p>Then a text arrived from Daniel.<\/p>\n<p>Dad. Please answer. This isn\u2019t about Thanksgiving anymore.<\/p>\n<p>I showed Harold.<\/p>\n<p>His expression changed.<\/p>\n<p>\u201cWhat does that mean?\u201d<\/p>\n<p>\u201cI\u2019m about to find out.\u201d<\/p>\n<p>I called Daniel.<\/p>\n<p>He answered before the first full ring.<\/p>\n<p>\u201cDad.\u201d<\/p>\n<p>His voice was strained.<\/p>\n<p>\u201cWhat happened?\u201d<\/p>\n<p>\u201cWhere are you?\u201d<\/p>\n<p>\u201cWhy?\u201d<\/p>\n<p>\u201cAre you at home?\u201d<\/p>\n<p>\u201cNo.\u201d<\/p>\n<p>A pause.<\/p>\n<p>\u201cAre you with Harold Bennett?\u201d<\/p>\n<p>I looked at Harold.<\/p>\n<p>He had heard the name through the speaker.<\/p>\n<p>\u201cWho told you about Harold?\u201d<\/p>\n<p>Daniel breathed out.<\/p>\n<p>\u201cRichard.\u201d<\/p>\n<p>\u201cHow does Richard know Harold?\u201d<\/p>\n<p>\u201cDad, please. Just tell me whether you\u2019re there.\u201d<\/p>\n<p>\u201cNo.\u201d<\/p>\n<p>\u201cRichard is losing his mind.\u201d<\/p>\n<p>\u201cAbout what?\u201d<\/p>\n<p>\u201cI don\u2019t know exactly.\u201d<\/p>\n<p>\u201cYou called me six times before eight in the morning. You know something.\u201d<\/p>\n<p>Daniel lowered his voice.<\/p>\n<p>\u201cAfter you left last night, Richard got a call.\u201d<\/p>\n<p>\u201cFrom whom?\u201d<\/p>\n<p>\u201cI don\u2019t know.\u201d<\/p>\n<p>\u201cWhat happened after the call?\u201d<\/p>\n<p>\u201cHe asked me questions about you.\u201d<\/p>\n<p>\u201cWhat questions?\u201d<\/p>\n<p>\u201cWhether you had ever mentioned Merritt. Whether you talked about investments. Whether Mom left you anything connected to the company.\u201d<\/p>\n<p>Ruth.<\/p>\n<p>The mention of her changed the temperature of the room.<\/p>\n<p>\u201cWhat did you tell him?\u201d<\/p>\n<p>\u201cThat I didn\u2019t know.\u201d<\/p>\n<p>\u201cWas that true?\u201d<\/p>\n<p>Daniel hesitated.<\/p>\n<p>I heard it.<\/p>\n<p>\u201cDaniel.\u201d<\/p>\n<p>\u201cI knew you invested years ago.\u201d<\/p>\n<p>\u201cHow?\u201d<\/p>\n<p>\u201cMom mentioned it once.\u201d<\/p>\n<p>\u201cWhen?\u201d<\/p>\n<p>\u201cA long time ago.\u201d<\/p>\n<p>\u201cWhat else did she say?\u201d<\/p>\n<p>\u201cNothing important.\u201d<\/p>\n<p>I looked at Harold.<\/p>\n<p>He wrote something on his legal pad.<\/p>\n<p>\u201cWhat does Richard want?\u201d<\/p>\n<p>\u201cI think he wants to know how many shares you own.\u201d<\/p>\n<p>\u201cWhy?\u201d<\/p>\n<p>\u201cI don\u2019t know.\u201d<\/p>\n<p>Another hesitation.<\/p>\n<p>Again, too long.<\/p>\n<p>\u201cTry again.\u201d<\/p>\n<p>Daniel exhaled.<\/p>\n<p>\u201cThere\u2019s a deal happening.\u201d<\/p>\n<p>\u201cI know.\u201d<\/p>\n<p>Silence.<\/p>\n<p>\u201cYou know?\u201d<\/p>\n<p>\u201cYes.\u201d<\/p>\n<p>\u201cHow?\u201d<\/p>\n<p>\u201cThat\u2019s not the important question.\u201d<\/p>\n<p>\u201cDad, you don\u2019t understand.\u201d<\/p>\n<p>\u201cI understand enough.\u201d<\/p>\n<p>\u201cNo, you don\u2019t. Richard thinks if certain shareholders object, everything could stop.\u201d<\/p>\n<p>I stared at the acquisition agreement.<\/p>\n<p>\u201cAnd that frightens him?\u201d<\/p>\n<p>\u201cYes.\u201d<\/p>\n<p>\u201cWhy?\u201d<\/p>\n<p>Daniel did not answer.<\/p>\n<p>\u201cWhy, Daniel?\u201d<\/p>\n<p>\u201cI can\u2019t talk about it over the phone.\u201d<\/p>\n<p>\u201cYou seem to be talking.\u201d<\/p>\n<p>\u201cPlease come to the house.\u201d<\/p>\n<p>\u201cThe house I wasn\u2019t invited into yesterday?\u201d<\/p>\n<p>\u201cDad.\u201d<\/p>\n<p>\u201cYou told me they made the rules.\u201d<\/p>\n<p>\u201cI was wrong.\u201d<\/p>\n<p>The words landed softly.<\/p>\n<p>They might have meant something twenty-four hours earlier.<\/p>\n<p>Now I could not tell whether they came from regret or fear.<\/p>\n<p>\u201cWhy are you apologizing now?\u201d<\/p>\n<p>\u201cI\u2019m not calling about that.\u201d<\/p>\n<p>\u201cExactly.\u201d<\/p>\n<p>Silence.<\/p>\n<p>Harold watched me.<\/p>\n<p>I asked the question that had been sitting beneath everything else.<\/p>\n<p>\u201cDaniel, are you involved in this acquisition?\u201d<\/p>\n<p>Nothing.<\/p>\n<p>Not a cough.<\/p>\n<p>Not a breath.<\/p>\n<p>Nothing.<\/p>\n<p>\u201cDaniel?\u201d<\/p>\n<p>\u201cI work with Richard sometimes.\u201d<\/p>\n<p>\u201cThat wasn\u2019t my question.\u201d<\/p>\n<p>\u201cDad, please.\u201d<\/p>\n<p>I ended the call.<\/p>\n<p>Harold remained quiet for several seconds.<\/p>\n<p>Then he pulled another document from the folder.<\/p>\n<p>\u201cI was hoping I wouldn\u2019t have to show you this until I understood it.\u201d<\/p>\n<p>He placed it before me.<\/p>\n<p>I saw Daniel\u2019s name almost immediately.<\/p>\n<p>Employment incentives.<\/p>\n<p>Performance bonuses.<\/p>\n<p>Future equity participation.<\/p>\n<p>My son was not standing near Richard\u2019s business.<\/p>\n<p>He was already inside it.<\/p>\n<p>\u201cHow long have you had this?\u201d<\/p>\n<p>\u201cSince last night.\u201d<\/p>\n<p>\u201cWhy didn\u2019t you tell me immediately?\u201d<\/p>\n<p>\u201cBecause having your name on a document does not prove wrongdoing.\u201d<\/p>\n<p>I appreciated that.<\/p>\n<p>Ruth would have too.<\/p>\n<p>I read every page.<\/p>\n<p>Daniel stood to benefit if certain corporate targets were achieved.<\/p>\n<p>One of those targets involved the acquisition.<\/p>\n<p>Another concerned ownership consolidation.<\/p>\n<p>I tapped the phrase.<\/p>\n<p>\u201cWhat does that mean?\u201d<\/p>\n<p>\u201cI\u2019m not certain yet.\u201d<\/p>\n<p>\u201cFind out.\u201d<\/p>\n<p>Harold nodded.<\/p>\n<p>\u201cAnd the acquisition?\u201d<\/p>\n<p>\u201cStop it.\u201d<\/p>\n<p>He studied me.<\/p>\n<p>\u201cImmediately?\u201d<\/p>\n<p>\u201cNo.\u201d<\/p>\n<p>That surprised him.<\/p>\n<p>I closed the folder.<\/p>\n<p>\u201cIf Richard has done nothing improper, an independent review will prove it.\u201d<\/p>\n<p>\u201cAnd if he has?\u201d<\/p>\n<p>\u201cThen I want to know exactly what.\u201d<\/p>\n<p>Harold leaned back.<\/p>\n<p>\u201cYou\u2019re asking for a full examination.\u201d<\/p>\n<p>\u201cEvery transfer. Every loan. Every payment involving Richard or his relatives. Every document with Daniel\u2019s name on it.\u201d<\/p>\n<p>\u201cThat could take time.\u201d<\/p>\n<p>\u201cTake it.\u201d<\/p>\n<p>My phone buzzed once more.<\/p>\n<p>A text from Victoria.<\/p>\n<p>Please, Lucas. Richard says you may be able to help us.<\/p>\n<p>I read it twice.<\/p>\n<p>Yesterday, I had not been important enough to enter her house.<\/p>\n<p>Today, apparently, I might be important enough to save it.<\/p>\n<p>I put the phone facedown.<\/p>\n<p>\u201cStart the review.\u201d<\/p>\n<p>Harold reached for the folders.<\/p>\n<p>I stopped him.<\/p>\n<p>\u201cOne more thing.\u201d<\/p>\n<p>\u201cWhat?\u201d<\/p>\n<p>\u201cDo it quietly.\u201d<\/p>\n<p>His eyes narrowed.<\/p>\n<p>\u201cYou think Richard might interfere?\u201d<\/p>\n<p>\u201cI think a man who calls before sunrise to find out what I know is already worried about what I might discover.\u201d<\/p>\n<p>Harold nodded slowly.<\/p>\n<p>As I stood to leave, he glanced again at Daniel\u2019s incentive agreement.<\/p>\n<p>\u201cLucas.\u201d<\/p>\n<p>I stopped.<\/p>\n<p>\u201cThere may be an innocent explanation for your son\u2019s name being here.\u201d<\/p>\n<p>\u201cI know.\u201d<\/p>\n<p>\u201cAnd there may not.\u201d<\/p>\n<p>\u201cI know that too.\u201d<\/p>\n<p>I left his office without calling Daniel back.<\/p>\n<p>The humiliation from Thanksgiving had changed shape.<\/p>\n<p>I had arrived there thinking the worst thing my son could do was fail to defend me.<\/p>\n<p>Now I was beginning to wonder whether, while I had been worrying about losing his respect, Daniel had quietly become part of something that could cost us far more.<\/p>\n<hr>\n<h2><strong><a href=\"https:\/\/insightdrama.com\/?p=11484\">Click here to continue reading: PART 3: The Records Showed Richard Was Buying His Brother\u2019s Company With Other People\u2019s Money\u2014and My Son\u2019s Name Was Buried Inside<\/a><\/strong><\/h2>\n","protected":false},"excerpt":{"rendered":"<p>My phone began vibrating at 6:12 the next morning.
